TERMS OF SERVICE
How We Work, Written Down.
The ground rules for using this site and for working together, what we do, what you own, and what each side is responsible for.

Template pending legal review
This document is a working template, not legal advice, and it is not yet in force. Every point marked [TO BE COMPLETED] needs a commercial decision and a review by a qualified adviser in the relevant jurisdiction before it is relied on. Individual project contracts take precedence over anything written here.
Who these terms are with
These terms cover your use of this website and set out the default shape of an engagement with ZYFISTA. [TO BE COMPLETED: registered entity name, company registration number, registered address, and VAT or tax registration status if applicable.]
Where a signed proposal, statement of work, or contract exists for a project, that document governs the project and overrides these terms wherever the two differ.
Scope of services
We provide digital strategy, brand and web design, web and e-commerce development, SEO, and digital marketing services. What is included in any particular engagement is whatever the signed proposal lists. Nothing on this website, including service pages and case studies, forms part of an offer or a promise of a specific outcome.
We do not guarantee rankings, traffic levels, conversion rates, or revenue. Search engines and advertising platforms are controlled by third parties, and anyone guaranteeing a position on them is guessing.
Quotes and proposals
- No prices are published on this site. Every figure comes from a written proposal scoped to your brief.
- A budget band submitted through the quote form helps us recommend the right shape of work. It is not a quote, and it does not bind either side.
- A proposal is valid for [TO BE COMPLETED: validity period, e.g. 30 days] from its date, after which scope and availability may have changed.
- Work outside the agreed scope is quoted separately before it starts. We will not do unagreed work and invoice for it afterwards.
Project process and your responsibilities
Projects run in phases with dated milestones. A project moves at the speed of its slowest input, and usually that input is feedback, so:
- You provide content, brand assets, access credentials, and approvals at the points the schedule names.
- You nominate one person with the authority to approve work on your side.
- You confirm you have the rights to any text, images, fonts, or data you give us, and that using them will not infringe anyone else’s rights.
- Delays in feedback move the schedule. If a project stalls on your side for [TO BE COMPLETED: dormancy period], we may pause it and re-plan around other commitments.
Payment terms
[TO BE COMPLETED: deposit percentage, invoicing schedule, payment window, accepted payment methods, currency, whether taxes are included, and any late-payment charge or interest rate.] Each of these is a commercial decision, and stating a number here before it is agreed would be inventing a term rather than documenting one.
What is fixed: invoices are issued against the phases named in the proposal, and work on a phase starts once the prior phase is paid.
Intellectual property and ownership
The signed project agreement defines ownership, payment conditions, source-code access, editable design files and account handover. Confirm those terms before work begins. This website does not grant rights to unspecified deliverables.
Fonts, stock images, plugins and other licensed assets may carry separate terms. The agreement should also address pre-existing tools, unused concepts, confidentiality and permission to show completed work. Final business terms remain subject to the agency's approved contract.
Revisions
Each phase includes the number of revision rounds named in the proposal. A round means consolidated feedback from your side, returned once, not a stream of individual changes. Revisions refine agreed direction; changing the direction itself is a new scope, quoted separately.
Third-party services and platform fees
Projects usually depend on services we do not control: hosting, domains, CMS platforms, payment gateways, email providers, plugins, fonts, and stock assets. Their subscription and licence fees are yours and are not included in our fees unless the proposal says so. We are not responsible for their outages, pricing changes, breaking updates, or discontinued features, though we will help you work around them.
Confidentiality
Each side keeps the other’s non-public business, technical, and commercial information confidential and uses it only for the project. This does not cover information that is already public, that either side already had, or that has to be disclosed by law. It applies while we work together and afterwards.
Limitation of liability
[TO BE COMPLETED: liability cap, typically expressed as a multiple of or ceiling at fees paid, plus the categories of excluded loss, confirmed against the consumer-protection and contract law of the governing jurisdiction, since some exclusions are unenforceable.]
What we will say plainly now: we are responsible for doing the work with reasonable skill and care. We cannot be responsible for business decisions you make on the back of it, for third-party platform failures, or for data you did not keep a backup of.
Termination
Either side can end an engagement in writing. If you end it, you pay for work completed and for work in progress up to that point, and we hand over what has been paid for. If we end it, we will give you [TO BE COMPLETED: notice period] and a clean handover of everything completed. Either side can end it immediately if the other breaches these terms materially and does not fix it after being asked.
Governing law and disputes
[TO BE COMPLETED: governing law and the forum for disputes, this depends entirely on where the operating entity is registered, and naming a country here before that is settled would be inventing a legal fact.] Whatever is chosen, both sides agree to raise problems directly and in writing first, because most disputes are scope misunderstandings and are cheaper to fix in a call.
Changes to these terms
We may update these terms as the business and the services change. The version in force for a project is the one in effect when that project’s proposal was signed. The date below shows when this page last changed.
